1. Acceptance of Terms
By accessing or using the Dcycle platform and website (collectively, the “Services”) provided by The Wake Up Movement S.L. (trading as Dcycle, “Company”, “we”, “us”, or “our”), you agree to be bound by these Terms and Conditions (“Terms”).
If you are accessing the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree with any part of these Terms, you must not use our Services.
2. Description of Services
Dcycle provides a cloud-based ESG (Environmental, Social and Governance) data management platform that enables companies to collect, manage, and report sustainability data in accordance with applicable frameworks including CSRD, EINF, GHG Protocol, ISO 14064, and others.
The specific features and services available to you depend on the subscription plan you have contracted.
3. Account Registration
To access the platform, you must register for an account and provide accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activities that occur under your account.
- Promptly notifying us of any unauthorised use of your account.
You must not share your account credentials with third parties outside your organisation, or create accounts on behalf of others without authorisation.
4. Subscriptions and Payment
4.1 Subscription Plans Access to the Dcycle platform is provided on a subscription basis. The features, usage limits, and pricing applicable to your account are set out in your subscription agreement or the plan you selected at registration.
4.2 Payment Terms Subscription fees are invoiced in advance on the agreed billing cycle (monthly or annual). Payment is due within 30 days of invoice date unless otherwise agreed in writing.
4.3 Price Changes We may change subscription prices with at least 30 days’ written notice before your next renewal period.
4.4 Taxes All prices are exclusive of applicable taxes (including VAT). You are responsible for all applicable taxes in your jurisdiction.
5. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
- Use the Services in any way that violates applicable laws or regulations.
- Upload or transmit malicious code, viruses, or any other harmful software.
- Attempt to gain unauthorised access to any part of the Services or related systems.
- Interfere with or disrupt the integrity or performance of the Services.
- Engage in scraping, data mining, or systematic extraction of data from the platform.
- Use the Services to process data in a manner inconsistent with your data processing agreements.
- Misrepresent your identity or affiliation with any person or entity.
6. Intellectual Property
6.1 Dcycle IP The Dcycle platform, including all software, algorithms, designs, trademarks, and documentation, is the exclusive property of The Wake Up Movement S.L. and is protected by intellectual property laws. These Terms do not grant you any ownership rights in the Services.
6.2 Your Data You retain all ownership of the data you input into the platform (“Customer Data”). By using the Services, you grant us a limited licence to process your Customer Data solely to provide the Services to you.
6.3 Feedback Any suggestions, feedback, or ideas you provide regarding the Services may be used by us without restriction or compensation.
7. Data Protection
Each party agrees to comply with all applicable data protection laws, including the GDPR. The terms of our Data Processing Agreement (available on request) are incorporated by reference into these Terms and govern the processing of personal data by Dcycle on your behalf.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party and to use it only for the purposes of these Terms. This obligation survives termination for a period of 3 years. Please also refer to our Confidentiality Policy.
9. Warranties and Disclaimers
9.1 We warrant that we will provide the Services with reasonable skill and care.
9.2 THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND BEYOND WHAT IS EXPRESSLY STATED HEREIN. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS.
9.3 We do not warrant the accuracy or completeness of any regulatory guidance or calculation methodologies provided within the platform. You remain responsible for verifying that your sustainability reports comply with applicable requirements.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total liability for any claims arising under or in connection with these Terms shall not exceed the fees paid by you to us in the 12 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.
11. Termination
11.1 By you: You may cancel your subscription at any time by providing written notice. Cancellation takes effect at the end of the current billing period.
11.2 By us: We may suspend or terminate your access to the Services immediately if you breach these Terms, fail to pay fees when due, or engage in behaviour harmful to the platform or other users.
11.3 Effect of termination: Upon termination, your right to access the Services ceases immediately. We will retain your Customer Data for 30 days after termination, after which it will be deleted unless you request earlier deletion or applicable law requires retention.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Spain. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain, unless mandatory consumer protection laws in your country provide otherwise.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide at least 30 days’ notice of material changes via email or platform notification. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
